On February 5, 2020, the European Securities Markets Authority (ESMA) modified its guidelines on enforcement of financial information. Such Guidelines apply to national competent authorities’ (NCAs) enforcement of financial information when it is required the respect of the Transparency Directive. In accordance with a peer review of 2017, ESMA decided to change its provisions for a better harmonisation of the way NCAs enforce the financial disclosures of European issuers. The amendments mainly relate to NCAs’ methods for selecting the issuers whose financial information should be examined and the procedures NCAs apply when they carry out such examination. The Chair, Steven Maijoor, claimed that “Ensuring that issuers provide investors with the full picture of their financial performance and situation is a prerequisite for transparent capital markets. Investors need to know the financial health of issuers in whom they may wish to invest”.
