Jersey has introduced a simple legal regime to allow Limited Partnerships to relocate to Jersey. The scheme went into effect in July 2020 under the Limited Partnership (Continuance) (Jersey) Regulations of 2020. From the date on which the Limited Partnership receives its “certificate of continuance” from the Registrar of Limited Partnerships in Jersey, the Limited Partnership (Jersey) Act 1994 (the “Jersey LP Law”) will apply to the Limited Partnership and this will no longer be treated as a Limited Partnership established under the laws of another jurisdiction. It is important to note that the transfer of the Limited Partnership to Jersey does not create a new Limited Partnership; does not affect any partnership interest; o has no effect on any act performed prior to the transfer or on the rights, powers, authorities, functions or obligations of the Limited Partnership, any partner or any other person prior to its transfer. The certificate is conclusive proof that the Limited Partnership has moved to Jersey since the date specified in the certificate.
