On 8 September 2022, the European delegation law contemplated some innovations resulting from the transposition of the Community Directive into national legislation. Among them: the extension of the effects of the E.U. Directive on corporate transactions to companies other than joint stock companies. Same extension in favor of transformations, mergers and demergers in which one or more companies participate, or from which they have their registered office, central administration or main business center in the territory of the European Union. Designation by the legislator of the competent authority to supervise the regularity of the cross-border transaction procedure, and to issue a “preliminary certificate”, which will be recognized by the Member State of destination.
